SpinNet User Home Page Service Agreement SoftBank Corp. SoftBank Corp. (hereinafter called " SoftBank") will provide User Home Page Service (hereinafter called "the Service") in accordance with the Service's Agreement (hereinafter called "the Agreement") to SpinNet Service customers. Article 1. (The Service) 1. The Service provides disk space for WWW content to SpinNet customers. 2. The disk space provided to each customer is 50Mbytes. 3. The Service falls under the Jurisdiction of Japanese Law. Article 2. (The Customer) 1. The Customer is someone who has applied and been accepted for service, according to the procedure outlined in this Agreement. Article 3. (Application for Subscription) 1. The Customer who wishes to apply for the Service must apply in accordance with the articles of this Agreement. 2. The Company will assign the Customer a special ID upon successful application. 3. The Company recognizes the Customer through provisioning of the ID. 4. The contract between the Company and the Customer comes into effect upon providing the Customer with an ID. Article 4. (Scope of this Agreement) 1. This Agreement applies to the Customer who uses the Service. 2. The Company reserves the right to change this agreement without approval from the Customer. Any changes to the Agreement will apply equally to all Customers. 3. The Company will give prior notification of any changes to the Agreement and provide an electronic copy of the new Agreement should any changes occur. Article 5. (Changes in items in the agreement etc.) 1. If there is any change in the Customer's name, address, credit card used for payment, or other items mentioned in the SpinNet Service agreement, the Customer shall promptly notify the Company of the change by the method described in the SpinNet Service agreement. 2. The Company accepts no responsibility for losses incurred as a result of failing to notify the Company of changes in the aforementioned information in Articles 6.1. Article 6. (Privacy) 1. The Company will not inspect or censor the contents of a Customer's Homepage, however the Company will cooperate with any lawful request from the proper authorities relating to a Customer's Homepage, or network service. Article 7. (Prohibited Actions) 1. The following acts are prohibited and will result in immediate termination of the Service. 1) Acts which will, or are likely to, disrupt the Company's network services. 2) Assigning the ID to a third party by the Customer; 3) Acts in violation of Japanese law including but not limited to; (a) Infringing on a copyright of another Customer, a third party, or the Company; (b) Slandering or abusing another Customer, a third party, or the Company; (c) Damaging the interests of another Customer, a third party, or the Company; (d) Acts contrary to public order or decency; 2. The acts which are, or are likely to be applied to the Law Regulating Adult Entertainment Businesses of image transmission type, are prohibited unless the Customer takes measures prescribed in the Law Regulating Adult Entertainment Business (registration of the business, etc), and the Company approves the use of such homepage service. Article 8 (Termination of Service) 1. Without warning, the Company reserves the right to delete the content of any user's homepage which violates Article 7 of this Agreement. 2. The Company will not be held liable for retaining content deleted in accordance Article 8.1 of this Agreement. 3. The company reserves the right to delete the ID of any Customer when deemed necessary by the Company with prior notification. 4. The Company reserves the right to have the contents inaccessible from others or to delete it without prior notification when the Company decides the contents on the Customer's homepage may cause a serious effect on our equipment or network environment. Article 9 (Cancellation of Service by the Customer) 1. To terminate this Service, the Customer shall notify us, by the prescribed method. Upon receipt of the termination request, we will delete the Customer's homepage ID and the contents. 2. After canceling the Service, the Customer may not subscribe again within 30 days. 3. When the Customer terminates SpinNet services, the Company will automatically remove the User Homepage Service ID and contents. Article 10 (Terms and Conditions) 1. Except for negligent acts of the Company, resulting in not being able to use the service, the Company shall have no liability to the Customer whatsoever, for any claim or loss. The Company shall assume no liability for any claim or loss, damage or expense from any cause whatsoever. This clause shall survive any failure of any exclusive remedy. 2. The Company is not liable for the accuracy, integrity, or usefulness of the information obtained or posted by any Customer of the Service. 3. The Company does not assume any responsibility for any damage that the Customer may suffer from the use of the Service. 4. If the Customer causes any damage to another Customer, or a third party, through the use of the Service, the Customer shall settle the matter on the Customer's own responsibility and at the Customer's own expense and shall inflict no damage or trouble on the Company. Article 11 (Service Outages/Performance) 1. Case in which suspending the provision of the Service cannot be avoided in performing maintenance or other work on our telecommunications facilities, the Company will notify the Customer beforehand. 2. If a natural disaster, a public incident, or any other emergency causes such a sharp increase in communication demand that the Company cannot connect all communications, the Company may restrict or suspend the provision of SpinNet Service in order to give priority to communications that need to be handled preferentially in the public interest. Supplementary provision: 1. The Agreement is established on November 1, 2000. This Agreement is revised on April 1, 2001 This Agreement is revised on October 1, 2001 This Agreement is revised on January 28, 2002 This Agreement is revised on April 1, 2005 2. AT&T WorldNet Service will become JENS SpinNet Service as a part of this Agreement as of October 1, 2001. Subscribers, who contracted with AT&T WorldNet Service before October 1, 2001, will not be required to renew this Agreement. 3. JENS Corporation changes its corporate name to JAPAN TELECOM CO., LTD. Customers who had concluded the agreement with us before March 31, 2005 do not need to conclude the agreement again. Additional Rules (Enforcement Time) 1. This Agreement is revised on October 1, 2006. (Change of Name of JENS SpinNet Service Agreement) 2. On the day this Agreement is revised, JENS SpinNet Service Agreement will be changed to SpinNet Service Agreement. (Interim Measures with regard to JENS SpinNet Service) 3. The subscription agreements for JENS SpinNet Service presently existing as of this revision that were concluded pursuant to the provisions of JENS SpinNet Service Agreement before this revision will be deemed to be subscription agreements for SpinNet Service concluded by SOFTBANK TELECOM pursuant to the provisions of this Agreement after revision as of the day this Agreement is revised.
