SoftBank Corp.


  SoftBank Corp. (hereinafter called “SoftBank”) will provide SpinNet Mail Filtering Service in accordance with the stipulations of this Mail Filtering Service Agreement (hereinafter called “the Agreement”) 

Article 1. (The Service)
The Service will provide users with the following functions in accordance with this Agreement and SpinNet Services Agreement Terms and Conditions. 
1. With respect to emails received at the mail address relating to the Services, in accordance with conditions set by the users, functionality such as automatic forwarding or receipt rejection, etc. will be provided.Emails that can be the target of processing in accordance with rules set by the user shall only be those that arrive in a form that is recognizable by the Company. Moreover, if the Company judges it necessary, the rules for processing set by the user notwithstanding, there are cases where this processing will not be carried out.
2. The Services makes no warranty whatsoever as to conformity with the user's specific purposes, having the functions exactly expected by users, operations not being halted, operations being fault-free, there being no adverse effect on email or self-operated terminal equipment and software, data, etc. installed therein, or as to any matters with respect to complete fulfillment of functions.
3. Users shall maintain and manage at their responsibility computer terminals, communications equipment, communications lines and other equipment necessary for use of the Service. 

Article 2 (Prohibited Acts)
Users must not, upon use of the Service, perform actions to which any one of the following respective items is applicable, regardless of the reason:
1. Grant the right of use, lease, transfer, distribute all or part of the Services to a third party, or perform any and all other rights transfer or rights grant.
2. Incorporate into other services, use as ancillary or additional value services.
3. Attempt to reverse engineer, reverse compile, reverse assemble, or modify or localize software relating to the Service.
4. Access systems improperly such as the servers relating to the Service.
5. Any and all sales activities or uses for profit, regardless of whether for value or for no value.
6. Any other prohibited matter as provided in the SpinNet Services Terms and Conditions.

Article 3 (Intellectual Property Rights)
Copyrights, patent rights, trademark rights, know-how, trade name logos and all other intellectual property rights with regard to the Services shall belong to the Company.

Article 4. (Indemnity)
1. The Company will make absolutely no compensation or indemnification for loss incurred by users and a third party arising in relation to the Services, including consequential loss, incidental loss and lost earnings, except for the loss arising out of the reasons attributable to the Company.
Provided, however, that this shall not apply to the loss arising from the willful act or gross negligence of the Company.
2. If the user causes loss to a third party through the use of the Services, the user must settle this at its responsibility, and shall have the Company bear no responsibility. Additionally, if any loss is incurred by the Company due to a dispute that arises between the user and a third party, the user shall compensate for the relevant loss.
 
Article 5. (Means of Notice)
Notice from the Company to the user with regard to the Services will be issued, unless otherwise provided, by email to the mail address of the user, or by posting on the SpinNet website or SoftBank website. 
Notice by email shall be deemed to have been made as of the time email sent by the Company arrives at the POP Server used by the relevant user. 
Notice by posting on websites shall be deemed to have arrived to the user as of the time when the relevant notice is posted on the website and it becomes possible for users to view it. 

Article 6 (Application of SpinNet Services Term and Conditions)
For matters not stipulated herein, related provisions as stipulated in SpinNet Service Terms and Conditions shall be applicable.

Article 7 (Amendment to this Agreement)
The Company may amend this Agreement without prior notice to users, and users shall accept this.

Article 8 (Jurisdiction)
Any dispute in relation to this Agreement or the Services shall be subject to the exclusive jurisdiction of Tokyo District Court as court of first instance.


Supplementary provision:

This Agreement is established on April 23, 2007
